LTD. ("SOMPO JAPAN") SHALL HAVE THE RIGHT TO CHANGE AND/OR ADD TO THESE TERMS FROM TIME TO TIME BY POSTING THEM ON OUR WEBSITE AND THE CHANGES SHALL BE EFFECTIVE WHEN POSTED ON SOMPO JAPAN'S WEBSITE. IN NO EVENT WILL THE MEASURE OF DAMAGES, WHETHER IN CONTRACT, EQUITY, NEGLIGENCE, INTENDED CONDUCT, TORT OR OTHERWISE PAYABLE BY SOMPO JAPAN AND/OR ITS AFFILIATES INCLUDE, NOR WILL SOMPO JAPAN AND/OR ITS AFFILIATES BE LIABLE TO ANY PARTY FOR, ANY AMOUNTS FOR LOSS OF INCOME, PROFIT OR SAVINGS, OR INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR SPECIAL DAMAGES OF ANY PARTY, AND ALL SUCH DAMAGES ARE EXPRESSLY DISCLAIMED;

    2. UNDER NO CIRCUMSTANCES WILL SOMPO JAPAN OR ANY OF ITS AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CLAIMS, DAMAGES, LOSSES, EXPENSES, COSTS OR LIABILITIES (INCLUDING, WITHOUT LIMITATION, ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS OR LOSS OF OPPORTUNITY) ARISING FROM YOUR ACCESS AND/OR USE OF ANY OF SOMPO JAPAN'S WEBSITE(S) OR ONLINE SERVICES, EVEN IF SOMPO JAPAN OR ANY OF ITS AFFILIATES HAS BEEN INFORMED ABOUT THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT PREJUDICE TO THE ABOVE, FURTHER IN THE ALTERNATIVE, SOMPO JAPAN ENTIRE LIABILITY FOR ALL CLAIMS OR DAMAGES ARISING OUT OF OR RELATED TO SOMPO JAPAN'S WEBSITE AND/OR THIS TERMS, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, EQUITY, NEGLIGENCE, INTENDED CONDUCT, TORT OR OTHERWISE, WILL BE LIMITED TO AND WILL NOT EXCEED, IN THE AGGREGATE FOR ALL CLAIMS, ACTIONS AND CAUSES OF ACTION OF EVERY KIND AND NATURE; THE AMOUNT EQUILVALENT TO SINGAPORE DOLLARS ONE HUNDRED (S$100/-) ONLY.
Privacy
  1. Generally, you can visit Sompo Japan's website without telling us who you are or revealing any information about yourself. Please do not send us any confidential or proprietary information via the Internet. Any information (including feedback, data, comments, suggestions, ideas or the like) that Sompo Japan and/or its Affiliates receives through Sompo Japan's website will be regarded as non-confidential. Sompo Japan may from time to time conduct online surveys and request for information about your interest or your views about specific matters in an effort to improve its services to you. You may choose not to respond. By sending to Sompo Japan and/or its Affiliates information via Sompo Japan's website or through any other electronic means, you grant to Sompo Japan and its Affiliates an unrestricted, irrevocable license to use, reproduce, display, modify, perform and distribute such information in any manner and for any purpose as Sompo Japan and its Affiliates shall deem fit. Further, and/or alternatively, anything you transmit or post becomes the property of Sompo Japan and may be used for any purpose as Sompo Japan and/or its Affiliates deem fit, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast, and posting. Further, Sompo Japan and/or its Affiliates is free to use any ideas, concepts, know-how, or information in any communication that you send to the site, for any purpose whatsoever, including, but not limited to, developing, manufacturing, and marketing products and services.

Sompo Japan and/or its Affiliates may, at its sole discretion, remove or modify any information and/or content (which you transmit or make available via Sompo Japan's website and/or online services) that in Sompo Japan's opinion may be defamatory, offensive, indecent, objectionable or illegal or may have infringed any party's intellectual property rights, without notice to you.
Governing Law
  1. By accessing Sompo Japan's website and online services, you agree that such access and/or use, as well as these Terms shall be governed by and construed in accordance with Singapore laws. Other than Sompo Japan and its Affiliates, a person or party who is not a party to the Terms and Conditions herein shall have no right or claim under the Contracts (Rights of Third Parties) Act Chapter 53B of Singapore to enforce any of its terms or conditions of these Terms. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force which rules are deemed to be incorporated by reference into this clause. The Tribunal shall consist of one (1) arbitrator to be appointed by the Chairman of the SIAC. The language of the arbitration shall be English. Judgment on an award rendered by the arbitrator may be entered and enforced in any court of competent jurisdiction.
General Terms
  1. No failure or delay by Sompo Japan and/or its Affiliates to exercise or enforce any of its rights under these Terms will operate as a waiver of such rights nor will such failure or delay in way prejudice or affect its right at any time thereafter to act strictly in accordance with its rights under these Terms. No single or partial exercise of any right, power, or privilege under these Terms shall preclude further exercise thereof.

  2. If any of these Terms or any part thereof is found or deemed by a court of competent jurisdiction to be invalid or unenforceable, the same will be revised and/or enforced to the maximum extent permissible under the law so as to effect the intent of the parties. In the event that it is not possible to do so, that part shall be severable from the remainder of these Terms and shall not cause the invalidity or unenforceability of the remainder of these Terms, the remainder of these Terms shall continue in full force and effect, unless such invalidity or unenforceability does substantially alter/invalidate these Terms or if such part or provision comprises an integral part or otherwise inseparable from the remainder of this these Terms.

  3. These Terms sets forth the entire understanding and agreement between you and us with respect to the matter hereof and shall survive any termination of these Terms.
